Terms & Conditions

These Terms govern access to and use of the WorkUp platform, website and related services.

By accessing or using WorkUp, you agree to these Terms.

WorkUp is operated by WorkUp Pty Ltd (ABN 76 669 680 675, ACN 669 680 675), a finance automation software platform designed to help businesses manage operational cashflow visibility, obligations and financial workflows.

WorkUp is not a bank, authorised deposit-taking institution or financial adviser.

Regulated payment and card services on the WorkUp platform are provided by Airwallex Pty Ltd (AFSL 487221), our licensed financial services partner.

Users must:

• Be at least 18 years old
• Be authorised to act on behalf of a business
• Use WorkUp for business purposes, and not as a consumer acting for personal, domestic or household use
• Provide accurate information
• Maintain secure access credentials
• Use WorkUp in compliance with applicable laws

Users are responsible for:

• Maintaining account security
• Protecting login credentials
• Managing authorised team access
• Reviewing connected integrations and permissions

WorkUp may suspend or restrict access where fraudulent, unlawful or abusive activity is suspected.

WorkUp provides tools including:

• Business Accounts
• Cards with Budgets
• Automation Rules
• Estimated obligation visibility
• Payment workflows
• Xero integrations
• Operational cashflow visibility

Certain functionality may change, evolve or be updated over time.

After obligations visibility is an estimated operational figure based on connected financial data, configured rules and available platform information at the time of calculation. It is not a guaranteed balance or a recommendation to spend.

It should not be relied upon as financial, accounting, legal or tax advice.

Businesses remain responsible for their own financial obligations and decisions.

WorkUp is a software platform. Xero remains the accounting source of truth and the customer remains solely responsible for the accuracy and completeness of their accounting records and for meeting all tax and regulatory obligations.

You are responsible for:

• Lodging and paying BAS, GST, PAYG and income tax
• Lodging and paying superannuation guarantee obligations
• Maintaining accurate Xero records and reconciliations
• Reviewing all automation rules and payment workflows before activation
• Engaging qualified accounting, tax or legal advisers as required

WorkUp does not provide accounting, tax, legal, financial product or credit advice. Any insights, figures, reserves, projections or suggestions presented in the platform - including outputs from AI features - are informational only and must not be relied on as professional advice.

Business Accounts, Cards with Budgets, BPAY, PayID and other regulated payment functionality on the WorkUp platform are issued and provided by Airwallex Pty Ltd (ABN 37 609 653 312, AFSL 487221) as the licensed financial services provider.

WorkUp acts as a technology platform and (where authorised) as a Corporate Authorised Representative of Airwallex, authorised to deal by arranging only and not to provide financial product advice. WorkUp does not hold customer funds, issue cards or process payments in its own right.

When you activate payment functionality, you will be required to separately accept the Airwallex Customer Terms, Product Disclosure Statement (PDS) and Target Market Determination (TMD), which govern the underlying account, card and payment services. Those documents are issued by Airwallex and will be presented for acceptance at the point you activate payment functionality.

In the event of any inconsistency between these Terms and the Airwallex Customer Terms in relation to a regulated payment service, the Airwallex Customer Terms prevail for that service.

WorkUp may connect with third-party services including Xero and regulated financial infrastructure providers.

Users are responsible for maintaining valid third-party accounts and permissions.

WorkUp services may be provided under monthly subscription pricing and usage-based pricing models.

Fees, inclusions and pricing tiers may change from time to time.

Where applicable, WorkUp will provide notice of material pricing changes. Unless stated otherwise, fees are exclusive of GST, which will be added where applicable.

Users must not:

• Use WorkUp unlawfully
• Attempt unauthorised access
• Interfere with platform security
• Misuse payment infrastructure
• Upload malicious software or content
• Use the platform for fraudulent activity

Features described as "unlimited" are subject to reasonable business use. WorkUp reserves the right to monitor usage and, where usage is excessive, automated, abusive, or materially exceeds normal usage patterns for a customer's subscription tier, require the customer to migrate to a more suitable plan, apply additional charges, or impose reasonable usage limits. WorkUp will provide notice before taking any such action where reasonably practicable.

WorkUp retains ownership of the platform, software, branding, systems and related intellectual property.

Users retain ownership of their business data. You grant WorkUp a non-exclusive licence to use your business data to the extent reasonably necessary to provide and improve the platform and related services.

To the maximum extent permitted by law, WorkUp excludes liability for indirect, incidental or consequential loss.

WorkUp does not guarantee uninterrupted platform availability or error-free operation.

Businesses remain responsible for their own accounting, tax, payroll and financial decisions.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. To the extent WorkUp is entitled to limit its liability for a failure to comply with a consumer guarantee, WorkUp limits that liability, at its option, to re-supplying the relevant services or paying the cost of having them re-supplied.

Users may stop using WorkUp at any time.

WorkUp may suspend or terminate access where required for security, compliance, operational or legal reasons.

WorkUp may update these Terms from time to time, and will give reasonable notice of any material change. If a change materially and adversely affects you, you may terminate your use of the platform before the change takes effect.

Continued use of the platform constitutes acceptance of updated Terms.

If you have a complaint or dispute, please contact us first in accordance with our Complaints & Feedback page so we can try to resolve it before commencing proceedings.

These Terms are governed by the laws of Queensland, Australia, and each party submits to the non-exclusive jurisdiction of the courts of that State. These Terms are the entire agreement between you and WorkUp in relation to the platform. If any provision is unenforceable, it is severed and the remaining provisions continue. You may not assign these Terms without WorkUp's consent; WorkUp may assign them to a related entity or successor on notice. A failure to enforce a provision is not a waiver of it.
